Mr. Sbaratta possesses an extensive background in complex negotiations and structured finance. He currently serves as General Counsel to White Rabbit Partners (“WRP”) and each of the underlying KLEAN entities. In such capacities, he has dealt with the full gambit of issues facing rehabilitation facilities and also participated in the negotiation and closing of WRP’s own revolving credit facility in July of 2013. He is admitted to practice in California and New York.

Mr. Sbaratta received his J.D. from Cornell Law School, where he served on the editorial board of the Cornell Law Review. Mr. Sbaratta’s own Note on prisoner procedural due process rights was published in the Cornell Law Review (81 Cornell L. Rev. 744). Mr. Sbaratta received his BA from Emory University.

Upon graduation, Mr. Sbaratta clerked for a federal judge in New York City before joining the corporate finance department at Seward & Kissel LLP (“S&K”), a Wall Street law firm in 1997. While at S&K, Mr. Sbaratta represented large financial institutions across a wide variety of complex debt and equity issuances ranging from straight debt offerings to asset-backed securitizations and derivative transactions. Mr. Sbaratta also worked extensively in conjunction with litigation and bankruptcy attorneys in working out failed structured transactions on behalf of bondholders.

Mr. Sbaratta left private practice in 2003 in order to become a Transaction Manager of a structured products division of Deutsche Bank. In that capacity, Mr. Sbaratta oversaw the review and administration of numerous asset-backed transactions.
